Welcome to Vibeset! These Terms of Service ("Terms") govern your access to and use of the Vibeset mobile application and website at vibe-set.com (the "Service") provided by Netrium Technologies LLC ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

1.1 Agreement

By creating an account or using the Service, you confirm that:

You are at least 13 years of age
You have the legal capacity to enter into this agreement
You will comply with these Terms and all applicable laws

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via:

In-app notification
Posting updated Terms on our website

Continued use of the Service after changes constitute acceptance of the modified Terms.

2. Description of Service

Vibeset is an AI-powered playlist generation service that:

Creates personalized music playlists based on mood, genre, and contextual prompts
Integrates with music streaming platforms
Offers both free and premium ("Pro") subscription tiers
Allows users to save, edit, and export playlists

3. Account Registration and Security

3.1 Account Creation

You must provide accurate and complete information when creating an account
You must maintain and promptly update your account information
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account

3.2 Account Security

Notify us immediately of any unauthorized use of your account at support@netriumtechnologies.com
We are not liable for any loss or damage arising from your failure to protect your account

3.3 One Account Per User

Each user may maintain only one account. Multiple accounts by the same person are prohibited.

4. User Conduct and Prohibited Activities

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You may not:

Violate any applicable laws or regulations
Infringe upon intellectual property rights of others
Transmit malicious code, viruses, or harmful software
Attempt to gain unauthorized access to the Service or other users' accounts
Use automated scripts, bots, or scrapers to access the Service
Reverse engineer, decompile, or disassemble any part of the Service
Resell, redistribute, or commercialize the Service without authorization
Use the Service to generate offensive, discriminatory, or illegal content
Bypass usage limits or restrictions placed on free accounts
Share Pro subscription access with unauthorized users

4.3 Content Standards

When providing prompts, descriptions, or other content:

Do not include hate speech, harassment, or discriminatory content
Do not include personally identifiable information of others
Do not violate any third-party rights

5. Subscriptions and Payments

5.1 Free Tier

Free users have access to limited features, including:

Up to 3 playlist generations per day
Playlists limited to 10 songs
No ability to save playlists

5.2 Pro Subscription

Pro subscriptions include:

Unlimited playlist generations
Extended playlists up to 100 songs
Save unlimited playlists to your library
Edit and refine playlists
Additional premium features as announced

5.3 Pricing and Billing

Subscription prices are displayed in the app and on our website
Subscriptions are billed on a recurring basis (monthly or annually)
Payment is processed through third-party payment processors and app store providers
All payments are subject to the payment processor's terms and conditions

5.4 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
Your account will be charged for renewal within 24 hours prior to the end of the current period
You can manage subscriptions and turn off auto-renewal in your app store account settings

5.5 Free Trials

Free trials, if offered, are available only to new subscribers
You will be charged when the trial period ends unless you cancel before the trial expires
We reserve the right to modify or discontinue free trial offers

5.6 Refunds

Refunds are handled according to the applicable app store refund policies
Generally, subscription fees are non-refundable except as required by law

5.7 Price Changes

We may change subscription prices at any time
Price changes will not affect your current subscription period
You will be notified of price changes before they take effect
Continued use after a price change constitutes acceptance of the new price

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including but not limited to software, algorithms, AI models, user interface, design, graphics, trademarks, logos, branding, and original content, are owned by Netrium Technologies LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for personal, non-commercial purposes
Generate playlists for your personal use

You may not copy, modify, distribute, sell, or lease any part of the Service.

6.3 User Content

You retain ownership of any content you provide (prompts, descriptions, etc.)
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use your content solely for providing and improving the Service
Generated playlists are created by AI based on your input and are for your personal use

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without obligation to you.

7. Third-Party Services and Content

7.1 Music Services

The Service integrates with third-party music streaming platforms
You must comply with the terms of service of these third-party platforms
Availability of music content depends on third-party licensing and may vary by region

7.2 Third-Party Links

The Service may contain links to third-party websites or services
We are not responsible for the content, privacy policies, or practices of third parties
Your use of third-party services is at your own risk

8. Disclaimers and Limitations of Liability

8.1 "AS IS" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties regarding the accuracy, reliability, or completeness of content

8.2 AI-Generated Content

Playlists are generated by artificial intelligence and may not always meet your expectations
We do not guarantee the quality, accuracy, or appropriateness of AI-generated playlists
AI recommendations are based on algorithms and may include errors or unexpected results

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETRIUM TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, or goodwill
Service interruptions or data loss
Any damages arising from your use or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Termination

9.1 Termination by You

You may terminate your account at any time by deleting your account through the app settings or contacting us at support@netriumtechnologies.com. Termination does not entitle you to a refund of any subscription fees.

9.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent or illegal activity, we discontinue the Service (with reasonable notice), or if required by law or legal process.

9.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases, we may delete your account data after 30 days, and sections of these Terms that by their nature should survive will survive termination.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles.

10.2 Informal Resolution

Before filing a claim, you agree to contact us at support@netriumtechnologies.com to attempt to resolve the dispute informally.

10.3 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Exceptions to Arbitration: Small claims court actions (if they qualify), intellectual property disputes, and requests for injunctive relief.

10.4 Class Action Waiver

YOU AND NETRIUM TECHNOLOGIES LLC AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
